进军中国｜系列⑨中国的商标品牌保护——在先申请制度及“盗用”对策【下篇】准备好了数据（系列⑧），你最不需要保护的就是你的品牌。中国拥有强大的先申请制度（先申请有有限的例外）——在这个世界里，像日本那样的“如果你使用它，你就会受到保护”并不适用，并且先申请者获胜。如果你在进入中国之前不采取行动，你的品牌就会被商标经纪人（抢注者）接管，你会发现自己无法在中国使用它或者不得不花高价买回来。本文（九篇系列的最后一篇）将总结在先原则、恶意备案规定、类似群体、申请途径、反盗用、取消不使用以及进入市场前的五个步骤。

01 主要原则——严格的先申请原则（先使用的情况除外）和“先备案后入境”
中国商标的出发点是严格的先申请原则（在先使用有有限的例外）。使用历史不是注册的前提条件，最先申请注册的人成为权利人（《商标法》第三十一条）。

- 如果同一或类似产品有两个或多个申请，则第一个申请者将获得注册（只有在同一天提交申请的情况下才会优先考虑第一个用户）。此外，《商标法》第五十九条第三款允许针对在申请注册之前就已经具有一定影响力的在先使用人在原有使用范围内继续使用进行抗辩，因此在先使用并非完全不受保护。
- 因此，“入市前申请”是最重要的措施。如果您没有在销售、展览或商务会议之前完成申请，经纪人将利用您的申请。审查过程进展顺利，从提交申请起大约需要 6 至 9 个月，包括异议在内，需要 12 至 18 个月。创业前至少 12 至 18 个月开始是安全的。
02 规范恶意申请（第四条）并强化运营
2019年修订的商标法第四条明确规定，“不以使用为目的的恶意商标申请将被驳回”，审查员现在可以依职权拒绝。
- “恶意”和“缺乏使用意图”是累积要求（两者都是必需的）。仅仅因为无意使用它并不一定意味着它是恶意的。
- 第 4 条还与异议（第 33 条）和无效审判（第 44 条）相关。它适用于2019年11月1日之后提交的申请，并且似乎不具有追溯力（由于尚未发布明确的司法解释，我们不做最终判决）。
- 行动也得到加强，2023年国家知识产权局共打击恶意申请和注册约47万件，并持续推进。
商标法第五修正案（2025-2026年，目前正在审议）旨在进一步强化恶意申请监管，将“无使用目的、明显超出正常经营需要的申请”作为驳回或撤销的理由。预计2026年颁布，实施细节有待跟踪。

03 良好的分类和“相似的群体”——仅分类数字就会留下漏洞
中国使用尼斯国际分类（45个分类），但最大的特点是还使用自己的“相似组”系统。

- 每个类别进一步细分为相似的组，并且作为一般规则，只有同一相似组内的产品才被判定为“相似”。即使在同一类别中，不同的相似组也是不同的（例如，“鞋”和“袜子”在第 25 类中是不同的）。
- 说“只要拿到分类号就放心”是错误的。涵盖哪些类似群体（指定产品的设计）是决定性的。
- 作为防御性类别，标准做法是预先注册类别 35（零售/EC）、类别 9（应用程序/电子产品）和类别 25（服装），这些类别可能是经纪商的目标。但如果太宽，则存在不使用和取消的风险（稍后描述）。
04 申请途径——直接申请与马德里协议
几乎总是建议日本公司在中国直接备案（CNIPA国内备案）。

直接申请的最大优点是你可以选择你想要覆盖的相似群体。直接申请对于仅在中国指定是有利的，因为（1）它需要从属于基本商标（中心攻击）五年，（2）指定商品依职权分为相似组，这往往会产生差距，以及（3）由于WIPO的处理，审查开始通常要慢3至5个月。授权书只需要签名，不需要公证或认证。

官方费用为每次电子申请270元（纸质申请300元），最多10个产品；电子申请每件超出27元（纸质申请30元）。续展每个类别500元（电子申请450元），到期后6个月宽限期内将加收滞纳金（纸质申请250元，电子申请225元）。期限为10年，到期前12个月内必须续展。对商标组合分类账中的到期日期进行集中管理对于确保商标不会因遗漏而到期至关重要。
05打击欺诈申请和OEM陷阱
在先发制人的情况下，针对每种类型的违法行为采用不同的规定。

- 第十五条：代理人、被许可人等未经许可提出申请（过去有代理关系的也可以）。第三十二条第一部分：侵犯商号、版权、外观设计等在先权利（标志的中国版权登记是有效补充）。第三十二条第二部分：欺诈性抢占在先使用且具有一定影响力的商标（需提供恶意证明+在先使用+知名度的高门槛）。第 4 条：恶意+无用。
- 对于恶意侵权，第六十三条规定最高可达五倍的惩罚性赔偿（法定上限为五百万元）。也有法庭案件要求协助提交恶意申请的机构承担连带责任。

还要注意 OEM（仅出口生产）。最高人民法院本田2019年判决认为，即使是只出口的代工产品，附加商标的行为也构成“商标使用”，可以构成侵权（判断标准是“是否容易引起中国相关公众的混淆？”）。在中国进行OEM业务的日本企业如果商标未在中国注册，将面临被海关扣押和侵权诉讼的风险。
06取消不使用（撤销）和准备使用证据
产品注册后三年内无正当理由不使用的，第三方可以申请“取消不使用”。这有进攻和防守两方面。
- 违规行为：您可以撤销并删除拥有您自己品牌的经纪商注册。
- 防御：防御性获得的商标如果三年不使用，可以被取消。当发生撤销时，除非注册人证明最近三年内的使用证明，否则注册将被取消。

国家知识产权局最重要的证据是发票和银行对账单。接下来是包含交易详细信息的 EC 记录、海关出口申报、许可协议和带有日期的广告材料。没有理货截图或发票的发票是不够的。标准做法是让子公司的会计和促销部门为每个类别准备最近三年的“使用证据档案”。

在2025年5月的CNIPA指南中，举证责任由申请撤销方承担（对注册人经营状况的调查、在三个及以上平台上的搜索结果、以及表明不存在滥用行为的书面同意书）。 2025年6月后，会有小幅宽松的趋势，但使用提现排除经纪商时的初查成本有所增加。
07 进入市场前保护品牌的 5 个步骤 / 系列结论
最后，在进入市场之前您应该采取五个步骤。如果忽视了这一点，以后就很难恢复了。
