01 劳动合同——书面合同义务与“双倍工资”风险

中国的劳动关系以劳动法和劳动合同法为基础。第一个障碍是签订书面劳动合同的义务。

书面合同必须在雇佣开始后一个月内签订。如果超过一个月未签订合同，您将有义务支付该期间合同规定月工资的两倍（双倍工资）。
双倍工资的实际上限为从就业第二个月到第12个月的最长11个月。超过一年未订立劳动合同的，视为订立无固定期限劳动合同。

“只是口头上说话”的成本很高。从入职第一天起签订书面合同是避免双倍工资风险和“视为不固定转换”的基础。将于2025年施行的司法解释2号还明确了认定非固定转产后不能享受双倍工资等豁免理由。

02 试用期和转换为无限期合同

招聘时的试用期根据合同期限有上限。

试用期在同一用人单位和雇员之间只能使用一次，工资必须不低于实际就业工资的80%且不低于最低工资标准，试用期也包含在合同期限内。根据合同期限，最长试用期可为 1 个月（3 个月以上且 1 年以下）、2 个月（1 年以上且 3 年以下）或 6 个月（3 年以上/无固定期限）。少于3个月的合同不能设定试用期。

日本公司面临的最大障碍是转换为无限期合同的义务。

① 连续工作10年/ ② 国企改革等特殊规定/ ③ 连续签订两次定期合同后下次续签时（无合法解除理由时）。
典型的失败是在两次续约后试图终止雇佣关系并请求非固定转换的情况。司法解释2号确立了“连续两次”的新认定标准，封杀了避免解除劳动合同的法律规避手段。

03解雇的三种类型和要求——“自由解雇”并不存在

中国法律中没有“一般性裁员可以无偿自由进行”的概念。一般来说，解雇必须有法律依据。

取消谈判（第36条）：双方同意。如果请求来自用户，则受 N 的约束。
用户单方取消：因疏忽拒绝（第39条）的，立即取消，无需通知或赔偿；对于无过错拒绝（第 40 条），提前 30 天通知或支付一个月的赔偿（须符合 N/N+1）。
经济法官（第41条/裁员）：减少20名或更多员工或10%或更多员工。需要法律理由+提前30天解释/听取意见+向劳动行政部门报告，即使是整顿解雇也需要N。

最危险的问题是“疏忽拒绝的证据不足”。要以“严重违规”为由提出索赔，必须通过民主程序制定和公布规定，规定必须明确规定违规行为为严重违规，并且必须有证据。如果证据不足，很可能会被认定为非法解雇=2N，争议期间的工资也会被加上。

04 经济补偿 — N/N+1/2N 和 3x/12 年上限

经济补偿决定了退出和清算的成本。基本公式为N=工作年限×终止前12个月的平均月工资（包括奖金和津贴）。受雇时间6个月以上不满1年的，一年相当于一个月，不满6个月的，相当于半个月。

N+1：仅适用无通知期无过错拒绝的三种理由（医疗期满、缺乏能力、客观情况发生重大变化）。支付通知是根据上个月（最近一个月）的工资计算的，计算方式与N的12个月平均数不同。不适用于因重组而取消谈判或解散的情况。
2N：非法解雇的情况下，工人可以要求复职或双倍经济补偿。
高薪员工双顶：月平均工资超过所在地上年平均工资三倍的，每月计算金额封三倍，工龄最长截断12年（主要适用于2008年以后工作的人员）。 3倍以下的工人没有年限上限。

固定期限劳动合同期满及经济补偿：用人单位拒绝续订或者降低劳动条件而劳动者拒绝的，期满后仍需支付经济补偿N（劳动合同法第四十六条第五项）。 “因期限已过，不予赔偿”是不正确的。

禁止解除事由（第四十条、第四十一条的适用限制）：申请无过错辞职、辞退重组，仅限于怀孕、分娩、哺乳期妇女、正在接受治疗（伤病治疗期）的劳动者、患职业病、工伤事故的劳动者、工作满十五年以上但距法定退休年龄不满五年的劳动者。在进行人员裁减时，必须提前确认目标人员的属性。

05工作条例、工会、劳动争议程序

作为解雇依据的劳动法规（规章制度）如果制定错误，就会失效。

涉及职工切身利益的事项（薪酬、工作时间、劳动法规等），必须同时满足以下两个条件才生效：1）工会代表大会全体职工讨论+工会和职工代表平等协商（民主程序）→2）公示和传播。保存成立历史的证据（会议记录、收据确认）是实践的关键部分。

劳动争议实行“一审和二审”制度，第一步是劳动仲裁（必须），如果不服，可以向人民法院提起诉讼。仲裁费用免费，提出索赔的时效一般为一年。原则上须将工资总额的2%缴纳给工会（工会），个别取消需提前通知工会（工会运作情况因地区而异）。

2025年063项重大制度更新——社会保险、退休年龄、竞业限制

2025年，劳动关系的前提将发生重大变化。按住三个更新。

强制社会保险：根据司法解释2号（2025年9月施行），“不缴纳、减少社会保险”的协议无效。工人可以终止合同并因未付款而索赔 N。征收集中在税务机关，使得额外征收变得容易，并且不参加社会保险以增加实得工资的传统做法已经成为一个严重的风险。
逐步提高退休年龄（法定退休年龄）：从2025年1月开始。男性从60岁到63岁，女性从50岁到55岁或55岁到58岁，大约需要15年，具体取决于职业。集体协议中还引入了最多三年的弹性延期。
更严格的竞业限制：对无法实际接触机密信息的人施加的竞业限制无效。离职后最长为2年，经济补偿不低于过去12个月月平均工资的30%且不低于最低工资标准（按照2025年人社部指导方针）（1年以上为50%）。这不是强制性的最低金额，而是参考标准。需要审查保留高技能人力资源和工程师的规定。

07 总结 — 继续系列 ⑧（数据监管）

简而言之，在中国的劳动关系中，如果去掉“书面合同、民主程序、合法依据、经济补偿”，最终的结果就是双倍工资、不固定折算、2N（非法解雇）。 2025年的强制性社会保险、延长退休年龄和更严格的竞业限制规定将对外派规划、人员成本规划和退出成本产生直接影响。
