01 退出选择——退出和裁员的3条路径

当谈到“如何处理我们的中国业务”时，出路不止一种。根据目的和成本使用以下三种类型。

股权转让（出售退出）：将整个业务出售给第三方/合作伙伴。虽然速度快，但对资本利得要征收预提税。
清算：公司解散或注销。这是最“干净”的结果，但取消税收可能需要很长时间。
减资：缩小规模和资本，同时保持公司完整。用于调整过多的注册资本或收回部分资金。

您选择哪一种取决于是否有累积损失、转让定价历史、是否有买家以及您想要保留的业务。两者都需要系列 ④ 中描述的审计和纳税申报表以及系列 5 中描述的汇款和外币程序。

02 股权转让退出——直接转让和间接转让（7号公告）

如果想出售整个业务并退出，则可以通过股权转让的方式退出。

直接转让：非居民转让中国子公司股权取得的所得，征收10%的预扣企业所得税（按资本利得=资本利得-收购成本而非总对价征税）。扣缴义务人是指支付对价并自义务发生之日起7日内缴纳预扣税款的人。
请注意，很难期望根据条约获得免税。中日税收协定第13条相当广泛地允许在来源国（中国）征税，因此，人们普遍认为，无论所有权比例如何，中国对子公司股权转让收益均保留征税。
间接转让（2015年第7号公告）：即使日本母公司转让香港等中间控股公司（SPC）的股份，如果认定该转让属于间接转让“中国应税财产”且缺乏合理商业目的，将重新认定为直接转让，并征收10%的税款。如果价值的75%以上来源于中国财产等，同时满足四项要求，则自动判定为不具有商业目的。

请注意，关联方之间的转让需要公平定价，且账面价值=对价的等值转让存在很高的拒绝风险。对于公开市场上的上市股票交易以及满足一定股权关系的集团内部重组来说，都有一个安全港。

03提款/清算（购买）手续及税务

当公司倒闭时，它就会被清算或取消。一般来说，税收在前，工商（登记）在后，取消税收成为最大瓶颈。

清算组应当自解散事由发生之日起15日内成立。修订后的《公司法》第232条规定董事（董事）有清算义务，增加了其因玩忽职守、不当减少公司资产而承担的赔偿责任。
债权人保护：自成立之日起10日内通知已知债权人，60日内公告。债务报告期（通知后 30 天/公告后 45 天）过后才能进行分配。
纳税实行两级纳税：自营业结束之日起60日内，按正常金额办理最终纳税申报直至营业结束，清算期间按独立纳税年度处理，清算所得按25%的税率征收企业所得税（财税[2009]60号）。分配剩余资产时，留存收益中相当于持股的部分作为股息按10%征税，超过投资成本的部分作为资本利得按10%征税。

如果企业没有应收账款、债务（或已经清算），如果使用简易令（公示20日），大约需要1到几个月的时间，但属于外商投资负面清单、登记为经营异常、存在争议的企业不符合资格。日本受监管行业的制造子公司很可能需要缴纳一般税项，而现实情况是，取消税收往往需要很长时间，从 6 个月到 1 年以上（所需时间根据地区运营和案例而有所不同）。

04 减资——撤资、赤字补偿及相关税务事项

减资（减少注册资本），在保持公司规模不变的情况下缩小公司规模，也是退出和调整的重要手段。基于将于 2024 年 7 月生效的修订后的公司法。

正常减资（抽资型）：经股东大会（三分之二以上表决权）特别决议后，自决议作出之日起10日内单独通知已知债权人，并在30日内公告。债权人可以要求偿还或提供担保（通知后 30 天/发布后 45 天）。
简单减资（亏损补偿型，公司法第225条）：仅以公积金补偿后仍亏损者，可免除债权人保护程序，只需在30日内公告即可。但条件是不向股东分配或不放弃投资义务，减资后累计公积金达到注册资本的50%后方可派发股利。

对于法人股东，追回的资产分为三类（2011年第34号文，以下25%的免税是针对中国居民法人股东，对于日本母公司等非居民法人股东，与清算时相同，②作为股息免税10%。③作为资本利得按10%征税）：①相当于初始投资=投资回收（免税）/②留存收益和盈余按比例划分准备金=视为股息（居民企业免税）/ ③ 剩余=资本利得（企业所得税25%）。
个人股东一次性获得20%的财产转让收入，不分类（2011年第41号）。原则上，净资产不超过投资成本的平价减资可以免税，但如果价格过低，税务机关将发挥自由裁量权。此外，对于日本母公司等非居民企业股东来说，(2) 视为股息不免税，需缴纳 10% 的预扣企业所得税；(3) 资本收益还需缴纳 10% 的预扣企业所得税（而不是 25%）。
由于国家对弥补税收没有统一的规定，且各地的处理方式也不同，因此需要事先向主管税务机关查询。

请注意您可以发送的金额。外国投资者因减资而减少的实际实收资本只能汇出境外。资本公积、盈余公积、未分配利润不计入减资汇出金额，单独作为税后利润分配（全额税款）处理。还有一个问题是，在2027年6月30日过渡期结束前，通过减资或股权转让等方式调整注册资本超额企业的实际缴费负担。

05 扩建时的陷阱及设计预防

出口处出现的许多陷阱可以通过入口时的设计来预防。

追溯税务审计：原则上需要补征3年（未缴税款10万元及以上的为5年；如果发现逃税、避税、骗税的，则没有期限），但包括转让定价在内的特别纳税调整最多可以追溯10年。提款和清算是同时审查过去转让价格的典型情况。
汇款停止：若仍有累计损失，无法通过股息或剩余股息弥补，外币汇款需进行真实性审查。对于过去存在税务和转让定价缺陷的公司，审查将更加严格。
债权人保护不足：如果因减资或清算而未进行个别通知，股东可能需要承担补充赔偿责任（基于解释理论）。如果不按照规定程序办理，可能会被处以罚款（1万元以上10万元以下）。
人员重组成本：退出时的经济补偿通常约定在“N+1至N+3”左右，其中包括提前通知津贴，在团体重组时则更加昂贵（详见系列⑦）。

06 总结 — 继续系列 ⑦（劳动）

简而言之，中国的退出选择有“股权转让（10%资本利得）、清算（清税是障碍）、减资（汇款仅限于实际实收资本）”，可以根据累计亏损、转让定价历史以及是否有买家来选择。无论哪种情况，如果债权人保护和税务程序出现故障，都将导致汇款和赔偿责任中止。
